Flow-down clauses,
and proving what was accepted

Passing clauses down is the easy part. Showing, years later, exactly which terms a subcontractor accepted and when is where most purchase files come apart.

DIRECT ANSWERChecked August 2026

Flow-down clauses are terms from your prime contract that you are required or choose to impose on your subcontractors. Some are mandatory by regulation, some are required by the prime contract, and others are commercially prudent. Which apply depends on the contract type, the dollar value and the nature of the work, so the set is determined award by award rather than once.

The short version

Three categories, one determination per award

Contractors often keep a single standing list of flow-downs and apply it everywhere. That is quicker, and it is also why reviewers find both missing clauses and irrelevant ones in the same file.

Three categories, one determination per award

Every clause falls into one of three categories, and which ones apply is decided award by award, not once per vendor.

  • Mandatory: required by regulation to flow down
  • Prime contract: required by your own contract terms
  • Prudent: not required, but protects you

Where flow-downs go wrong

The failure is almost never the clause itself

Four patterns account for most findings, and all four are about the file rather than the clause library.

Six questions about a single subcontract

Six questions settle which clauses apply to one subcontract, and the answers belong on the award itself.

  • Contract type and dollar value
  • What work is performed, and where

FAQ

Common questions about flow-down clauses

What is a flow-down clause?
A term from your prime contract that you pass on to a subcontractor. Some are required by regulation, some by the prime contract itself, and others are included because they protect your own position.
Are all flow-downs mandatory?
No, and treating them as one undifferentiated block is a common source of findings. Mandatory clauses apply where the conditions in the clause are met, and those conditions turn on contract type, value and the nature of the work.
Do flow-downs apply below the first tier?
Many require their substance to be included in lower tier subcontracts. Your file should show that you imposed that obligation, not merely that you passed the clause to your direct subcontractor.
Where should flow-down evidence live?
On the subcontract award. Clauses sent by separate email are the most common weak point, because proving what a subcontractor accepted then depends on locating an old thread.
Can we use one standard set for every subcontract?
It is quicker, and it produces findings in both directions. A single set means some awards carry clauses that do not apply while others miss ones that do. Determine the set per award and record why.
How often should the clause library be reviewed?
Whenever the underlying text changes, which means the library needs a named owner. Unowned libraries drift, and superseded clause text turning up in a sample is a routine finding.
Does a purchasing system decide which clauses apply?
No. The determination is a contracting judgement that stays with you. What a record can do is hold the set you applied, the basis for it and the acceptance, so the decision is evidenced.
